Platform General Terms & Conditions governing access to and use of Talendoo and its related services.

1. Introduction and Acceptance

1.1 Agreement

These Platform General Terms & Conditions (“General Terms”) govern access to and use of Talendoo (the “Platform”), including its website, Odoo-based portals, mobile interfaces, applications, APIs, communications, recruitment functionality, payment functionality, and related services (collectively, the “Services”).

The Platform is operated by True Cloud ERP (Pty) Ltd; a company incorporated in the Republic of South Africa (“Company”, “we”, “us”, or “our”).

1.2 Role-Specific Terms

These General Terms apply to every person accessing or using the Platform.

Depending on the capacity in which you use the Platform, you must also comply with the applicable:

Candidate Terms & Conditions;

Employer Terms & Conditions; or

Recruiter Terms & Conditions.

The applicable role-specific terms form part of your agreement with the Company.

1.3 Additional Policies

The following documents, where applicable, should be read together with these General Terms:

Privacy Policy;

POPIA/GDPR Data Processing Notice;

Data Processing Agreement (“DPA”), where applicable; and

any additional policies, notices, order forms, subscription terms, service descriptions, or contractual documents expressly incorporated into your agreement.

1.4 Registration Acceptance and Consent

Acceptance of contractual terms and consent to processing that legally requires consent are separate.

At registration, Talendoo may require you to:

Mandatory contractual acceptance

Confirm that you have read and agree to:

these Platform General Terms & Conditions; and

the applicable Candidate, Employer, or Recruiter Terms & Conditions.

Mandatory privacy acknowledgement

Confirm that you have been provided with access to the Privacy Policy and applicable data-protection notices.

Separate optional consent controls

Where applicable, separate unticked controls may be provided for:

marketing communications;

searchable Candidate profile visibility;

Candidate talent-pool participation;

background checks;

interview recording;

assessments;

processing of special or sensitive information; and

other processing requiring consent.

Cookie consent is managed separately through Talendoo’s cookie banner and preference centre.

Optional consent will not be pre-selected.

1.5 Electronic Acceptance

By selecting an “I Agree”, “Accept”, “Register”, “Create Account”, “Subscribe”, “Continue”, or equivalent electronic acceptance control where the applicable contractual terms are clearly presented or linked, you enter into a binding electronic agreement with True Cloud ERP (Pty) Ltd.

Where permitted by law, True Cloud ERP (Pty) Ltd may retain evidence of acceptance, including:

Account identifier;

user role;

organisation represented;

document name;

document version;

date and time;

acceptance action;

IP address;

browser/device information; and

other audit information reasonably necessary to demonstrate acceptance.

1.6 Authority to Bind an Organisation

If you create or operate an Account on behalf of an Employer, Recruiter, company, agency, organisation, partnership, or other legal entity, you represent and warrant that you have authority to bind that entity to these General Terms and all applicable role-specific terms.

2. Definitions

For purposes of these General Terms:

“Account” means a registered user account on Talendoo.

“Applicable Law” means any law, regulation, regulatory requirement, court order, binding code, or other legal requirement applicable to a user, True Cloud ERP, the Services, or a particular transaction.

“Candidate” means an individual seeking employment, work, assignments, contracts, placements, internships, or other professional opportunities through Talendoo.

“Content” means information, documents, text, images, CVs, job advertisements, messages, files, videos, assessments, data, or other materials submitted to or made available through Talendoo.

“Employer” means an organisation or authorised representative using Talendoo to advertise vacancies, search for Candidates, manage applications, or recruit personnel.

“Fees” means charges payable for paid Services.

“Payment Service Provider” means an independent payment gateway, payment processor, merchant acquirer, bank, financial technology provider, mobile-money provider, or related provider used in connection with Talendoo payments, including Stripe, PayPal, Flutterwave, and any future supported provider.

“Personal Information” and “Personal Data” have the meanings given under applicable data-protection legislation, including the Protection of Personal Information Act 4 of 2013 (“POPIA”) where applicable.

“Platform” means Talendoo.

“Recruiter” means a recruitment agency, staffing company, recruitment consultant, executive-search provider, independent recruiter, or other authorised recruitment intermediary.

“Services” means Talendoo and services made available by True Cloud ERP (Pty) Ltd.

“User” means any Candidate, Employer, Recruiter, visitor, authorised organisation user, or other person accessing Talendoo.

3. Eligibility and Account Registration

3.1 Eligibility

You may use Talendoo only if you:

have legal capacity to enter into a binding agreement;

meet the minimum age requirement applicable to the Platform;

provide accurate registration information;

are not prohibited from using the Services under Applicable Law; and

comply with these General Terms.

3.2 Minimum Age

Unless otherwise expressly permitted by True Cloud ERP (Pty) Ltd in accordance with Applicable Law, users must be at least 18 years old.

3.3 Accurate Information

You must provide accurate, current, complete, and non-misleading information.

You must promptly update information that becomes inaccurate or outdated.

3.4 One Person, One Identity

Users must not create false, deceptive, impersonating, duplicate, or fraudulent Accounts.

True Cloud ERP (Pty) Ltd may permit multiple organizational roles or Accounts where reasonably necessary for legitimate business use.

3.5 Account Verification

True Cloud ERP (Pty) Ltd may verify an Account or request additional information to establish:

identity;

organisational authority;

company registration;

recruitment-agency status;

contact information;

payment information;

professional credentials; or

other information reasonably required to protect Talendoo.

4. Account Security

4.1 Credentials

Users are responsible for protecting their login credentials.

4.2 Credential Sharing

Individual credentials must not be shared with another person unless expressly permitted by True Cloud ERP (Pty) Ltd.

Employers and Recruiters should create separate authorised-user Accounts for individual personnel.

4.3 Unauthorised Access

You must promptly notify True Cloud ERP (Pty) Ltd at support@talendoo.io if you suspect:

unauthorised Account access;

credential theft;

Account compromise;

fraudulent activity; or

a security incident.

4.4 Responsibility for Account Activity

Subject to Applicable Law, users and organisations are responsible for activities carried out through Accounts they have authorised.

5. Platform Purpose

Talendoo facilitates recruitment-related interactions between Candidates, Employers, and Recruiters.

Services may include:

Candidate registration;

CV/profile creation;

vacancy advertising;

job applications;

Candidate searching;

Candidate matching;

recruitment workflow management;

interview scheduling;

messaging;

assessments;

document management;

Employer and Recruiter portals;

subscription services;

payment functionality;

reporting;

notifications; and

other recruitment-related features introduced from time to time.

True Cloud ERP (Pty) Ltd is not itself the Employer, Recruiter, Candidate, employment agency, labour broker, immigration adviser, financial adviser, or party to an employment contract unless expressly stated otherwise.

6. No Guarantee of Recruitment Outcome

Talendoo facilitates recruitment but does not guarantee:

employment;

placement;

interviews;

applications;

Candidate availability;

Candidate suitability;

Employer suitability;

Recruiter performance;

salary;

remuneration;

response rates;

hiring success;

continued employment;

placement duration; or

any particular commercial result.

Recruitment decisions remain the responsibility of the relevant Employer, Recruiter, and Candidate.

7. Acceptable Use

Users must use Talendoo lawfully, honestly, and professionally.

You must not:

submit false or misleading information;

impersonate another person or organisation;

create fraudulent vacancies;

create fraudulent Candidate profiles;

harass, threaten, discriminate against, or abuse another user;

send unlawful or unsolicited communications;

scrape or systematically extract Platform data without authorisation;

harvest Candidate information;

sell or commercially exploit Candidate information unlawfully;

upload malware or malicious code;

interfere with Platform security;

attempt unauthorised access;

bypass access controls;

reverse engineer protected Platform components except where law expressly permits it;

manipulate rankings, searches, recommendations, reviews, or Platform metrics;

use bots or automated systems contrary to Company authorisation;

conduct phishing or recruitment scams;

solicit unlawful Candidate payments;

facilitate human trafficking, forced labour, modern slavery, or unlawful employment practices;

infringe intellectual property;

process Personal Information unlawfully; or

use the Platform for illegal activities.

8. User Content

8.1 Ownership

Users retain ownership of Content they lawfully own.

8.2 License to True Cloud ERP (Pty) Ltd

By uploading Content, you grant True Cloud ERP (Pty) Ltd a non-exclusive, worldwide, royalty-free license to host, store, reproduce, process, display, transmit, format, and otherwise use the Content to the extent reasonably necessary to operate, secure, maintain, improve, and provide Talendoo and its Services.

8.3 User Warranties

You warrant that you:

have authority to submit the Content;

have obtained required permissions;

do not knowingly infringe third-party rights;

do not knowingly upload unlawful Content; and

have a lawful basis for any Personal Information concerning another person.

8.4 Moderation

True Cloud ERP (Pty) Ltd may remove, restrict, quarantine, or investigate Content reasonably believed to:

breach these Terms;

violate Applicable Law;

infringe third-party rights;

create security risk;

constitute fraud; or

threaten users or Platform integrity.

9. Intellectual Property

True Cloud ERP (Pty) Ltd and its licensors retain all rights in Talendoo, including:

software;

source code;

databases;

designs;

interfaces;

trademarks;

branding;

workflows;

documentation;

algorithms;

Platform-generated materials; and

other proprietary technology.

Except as expressly authorised, users may not copy, reproduce, modify, distribute, sell, license, reverse engineer, or create derivative works from True Cloud ERP (Pty) Ltd intellectual property.

Nothing transfers ownership of True Cloud ERP (Pty) Ltd intellectual property to a user.

10. Privacy and Data Protection

10.1 Compliance

Personal Information will be processed in accordance with the Privacy Policy, POPIA/GDPR Data Processing Notice, Cookie Policy, applicable DPA, POPIA, and other Applicable Law.

10.2 International Users

Talendoo may be accessed internationally.

The Platform is operated from South Africa and True Cloud ERP (Pty) Ltd primary privacy framework is the Protection of Personal Information Act 4 of 2013 (POPIA).

Where applicable, the EU GDPR, UK GDPR, and mandatory privacy laws in other jurisdictions may additionally apply.

10.3 Employer and Recruiter Responsibilities

Employers and Recruiters must independently comply with applicable privacy, data-protection, labour, and employment laws when processing Candidate information.

10.4 International Transfers

Personal Information may be transferred internationally subject to safeguards described in the Privacy Policy, POPIA/GDPR Data Processing Notice, DPA, Subprocessor List, and Applicable Law.

11. Third-Party Services

11.1 Integrations

Talendoo may integrate with third-party services including:

Stripe;

PayPal;

Flutterwave;

messaging providers;

email providers;

video conferencing providers;

background-check services;

identity-verification services;

analytics services;

artificial-intelligence providers;

document-storage providers;

CAPTCHA providers; and

other technology services.

11.2 Third-Party Terms

Third-party services may be governed by their own contractual terms and privacy policies.

True Cloud ERP (Pty) Ltd does not control independent third-party services merely because they are integrated with Talendoo.

11.3 External Links

Talendoo may contain links to third-party websites.

True Cloud ERP (Pty) Ltd is not responsible for independent third-party websites, content, security, privacy practices, or availability.

12. Fees, Subscriptions and Billing

12.1 Paid Services

Certain Employer, Recruiter, premium, subscription, advertising, or other Services may require payment.

12.2 Pricing

Applicable prices, currencies, billing periods, taxes, and material payment conditions will be disclosed before purchase or contained in an applicable order form or commercial agreement.

12.3 Taxes

Fees may exclude South African value-added tax (“VAT”), sales tax, GST, withholding tax, or similar taxes unless expressly stated.

Users are responsible for taxes legally payable by them.

12.4 Recurring Subscriptions

Where a recurring subscription is selected, the user authorises recurring billing for the disclosed subscription period until cancelled or terminated.

12.5 Price Changes

True Cloud ERP (Pty) Ltd may change prices prospectively.

Material price changes affecting an existing recurring subscription will be communicated in advance where required by Applicable Law or contract.

12.6 Non-Payment

Failure to pay amounts when due may result in:

payment retries;

suspension of paid Services;

downgrade;

restriction;

termination; or

lawful debt-recovery action.

13. Third-Party Payment Services and Payment Processing

13.1 Active Payment Service Providers

Talendoo uses independent third-party payment service providers, payment gateways, merchant-acquiring services, banking partners, and related financial technology providers to process payments, subscriptions, refunds, payouts, settlements, currency conversions, and other payment-related transactions.

The active Payment Service Providers available through Talendoo include:

Stripe;

PayPal; and

Flutterwave.

True Cloud ERP (Pty) Ltd may add or replace Payment Service Providers from time to time.

The availability of a particular provider, payment method, currency, or payout option may depend on:

the user’s country;

transaction currency;

Account type;

transaction type;

Payment Service Provider requirements;

regulatory restrictions; and

Applicable Law.

13.2 Independent Third-Party Services

Stripe, PayPal, Flutterwave, and any other Payment Service Provider are independent third parties unless expressly stated otherwise.

Use of those services may additionally be governed by the Payment Service Provider’s own:

terms and conditions;

privacy policy;

acceptable-use rules;

verification requirements;

prohibited-business rules;

chargeback procedures;

dispute procedures; and

other applicable policies.

Users are responsible for reviewing and complying with any terms applicable to their selected Payment Service Provider.

The integration of Stripe, PayPal, Flutterwave, or another Payment Service Provider does not create an agency, partnership, joint venture, fiduciary, banking, employment, or similar relationship between that provider and True Cloud ERP (Pty) Ltd.

13.3 Payment Information

Payments may be processed directly by Stripe, PayPal, Flutterwave, or the other applicable Payment Service Provider.

Unless expressly stated otherwise, True Cloud ERP (Pty) Ltd does not store complete payment-card numbers, CVV/CVC codes, online-banking passwords, PINs, or other authentication credentials controlled by a Payment Service Provider.

Payment Service Providers may process information including:

payer or recipient name;

billing address;

email address;

telephone number;

payment-card information;

bank-account information;

payment tokens;

transaction amounts;

currencies;

transaction references;

IP address;

device information;

fraud and risk information;

identity information;

verification information; and

other information reasonably necessary to process or verify a transaction.

13.4 Authorisation to Process Payments

By initiating a payment through Talendoo, you authorize True Cloud ERP (Pty) Ltd and/or the selected Payment Service Provider, as applicable, to process the transaction and associated charges in accordance with:

the applicable order;

subscription;

invoice;

pricing plan;

Employer Terms;

Recruiter Terms; and

these General Terms.

13.5 Recurring Payment Authority

Where recurring billing is selected, you authorise recurring charges to your selected payment method until the relevant subscription is cancelled or terminated in accordance with the applicable Terms.

You are responsible for keeping payment information current.

13.6 Payment Verification, KYC and KYB

Stripe, PayPal, Flutterwave, or another Payment Service Provider may require:

identity verification;

company verification;

bank-account verification;

Know Your Customer (“KYC”) procedures;

Know Your Business (“KYB”) procedures;

anti-money-laundering checks;

sanctions screening;

fraud screening;

source-of-funds information; or

other regulatory verification.

True Cloud ERP (Pty) Ltd does not control the outcome of independent Payment Service Provider verification.

13.7 Transaction Restrictions

A Payment Service Provider may decline, delay, hold, suspend, reverse, investigate, or restrict a transaction where permitted by its terms or Applicable Law.

13.8 Payment Failures

Transactions may fail, be declined, or be delayed because of:

insufficient funds;

incorrect payment details;

expired payment methods;

issuer restrictions;

fraud controls;

verification requirements;

transaction limits;

sanctions;

unsupported jurisdictions;

unsupported currencies;

telecommunications problems;

gateway outages; or

other third-party restrictions.

Where payment of a True Cloud ERP (Pty) Ltd Fee fails, True Cloud ERP (Pty) Ltd may retry the payment where permitted, request an alternative payment method, suspend the affected paid Service, or exercise other rights available under the Agreement.

13.9 Currency Conversion and International Transactions

International transactions may involve:

exchange-rate conversion;

foreign-exchange spreads;

international transaction fees;

correspondent-bank charges;

intermediary-bank charges; or

other currency-related charges.

Unless expressly included in Talendoo pricing, these third-party charges are outside True Cloud ERP’s control and remain the user’s responsibility.

The final exchange rate applied by Stripe, PayPal, Flutterwave, a bank, card issuer, or other intermediary may differ from an indicative exchange rate displayed elsewhere.

13.10 Third-Party Payment Fees

Payment Service Providers, banks, card issuers, mobile-money providers, correspondent banks, and other financial intermediaries may impose:

transaction fees;

processing fees;

withdrawal fees;

conversion fees;

cross-border fees;

chargeback fees;

bank charges; or

similar fees.

True Cloud ERP is not responsible for third-party charges unless it expressly agrees in writing to bear them.

13.11 Refunds

Refund entitlement is determined under these General Terms, the applicable Employer or Recruiter Terms, applicable subscription conditions, order forms, and mandatory consumer law.

Where a refund is approved, it may be processed through the original Payment Service Provider and payment method where reasonably practicable.

Refund processing times may depend on Stripe, PayPal, Flutterwave, card networks, banking institutions, the user’s country, transaction currency, and payment method.

True Cloud ERP (Pty) Ltd does not control third-party settlement times.

Third-party transaction, bank, or currency-conversion charges may be non-refundable where permitted by Applicable Law.

13.12 Chargebacks and Payment Disputes

Users must not initiate fraudulent, improper, or abusive chargebacks.

If a transaction is disputed through Stripe, PayPal, Flutterwave, a bank, card issuer, or another provider, True Cloud ERP may provide information reasonably necessary to investigate, defend, or resolve the dispute, including:

transaction records;

invoices;

subscription information;

Account information;

evidence of contractual acceptance;

Platform usage records;

communications; and

other relevant evidence.

Any Personal Information disclosed for this purpose will be handled in accordance with Applicable Data Protection Law.

True Cloud ERP may suspend affected paid Services while a material payment dispute remains unresolved where lawful.

13.13 Fraudulent and Unauthorised Transactions

Users must promptly notify True Cloud ERP (Pty) Ltd at support@talendoo.io if they reasonably believe that an unauthorised or fraudulent transaction involving their Talendoo Account has occurred.

True Cloud ERP may cooperate with:

Stripe;

PayPal;

Flutterwave;

banks;

card networks;

regulators;

law-enforcement authorities; and

affected users

in investigating suspected fraud, money laundering, Account compromise, or unlawful payment activity.

13.14 Payment Service Availability

True Cloud ERP does not guarantee continuous availability of Stripe, PayPal, Flutterwave, or another Payment Service Provider.

A Payment Service Provider may:

experience technical outages;

discontinue a payment method;

cease operating in a jurisdiction;

change fees;

restrict transactions;

suspend an account;

modify eligibility criteria; or

discontinue integration with Talendoo.

True Cloud ERP may add, suspend, remove, or replace Payment Service Providers where reasonably necessary.

13.15 No Banking or Financial Services

True Cloud ERP operates Talendoo as a recruitment technology platform.

Unless expressly stated otherwise, True Cloud ERP is not itself acting as a:

bank;

payment institution;

money transmitter;

payment processor;

financial adviser;

escrow service; or

other regulated financial institution.

Payment processing and related regulated financial services are provided by Stripe, PayPal, Flutterwave, or another applicable Payment Service Provider.

13.16 Payment Security

True Cloud ERP will take reasonable measures to integrate supported Payment Service Providers securely.

Users remain responsible for protecting:

Talendoo credentials;

Payment Service Provider credentials;

banking credentials;

passwords;

PINs;

CVV/CVC codes;

one-time passwords; and

authentication information.

Users must never submit passwords, PINs, CVVs, one-time passwords, or online-banking credentials through:

Talendoo messaging;

Candidate profiles;

CVs;

applications;

job advertisements; or

communications with other Talendoo users.

13.17 Payment Data and Privacy

Payment-related Personal Information will be processed in accordance with:

the Talendoo Privacy Policy;

POPIA/GDPR Data Processing Notice;

applicable Data Processing Agreement;

Subprocessor List;

POPIA; and

other Applicable Law.

Where Stripe, PayPal, Flutterwave, or another Payment Service Provider independently determines the purposes and means of processing payment information, that provider may act as an independent controller/responsible party and its own privacy documentation will apply.

13.18 PCI DSS and Card Information

Where card payments are offered, True Cloud ERP intends, wherever reasonably practicable, to structure Talendoo so that sensitive payment-card information is submitted directly to Stripe, PayPal, Flutterwave, or another applicable payment provider.

True Cloud ERP will not represent itself as independently certified under the Payment Card Industry Data Security Standard (“PCI DSS”) unless such status has been formally verified.

Each Payment Service Provider remains responsible for its own applicable PCI DSS obligations.

13.19 Payment Provider Liability

To the maximum extent permitted by Applicable Law, True Cloud ERP is not responsible for an act, omission, outage, processing error, security incident, account restriction, verification decision, transaction decline, settlement delay, currency conversion, or similar matter attributable solely to Stripe, PayPal, Flutterwave, a bank, card network, mobile-money operator, or other independent financial intermediary.

Nothing in this clause excludes liability that cannot lawfully be excluded, including liability caused by True Cloud ERP’s own unlawful conduct.

13.20 Changes to Payment Providers

True Cloud ERP may introduce additional Payment Service Providers or discontinue an existing provider.

Where a Payment Service Provider processes Personal Information on behalf of True Cloud ERP and qualifies as a subprocessor, the applicable Subprocessor List will be updated and any notification required under the DPA will be provided.

13.21 Country Restrictions

Not every Payment Service Provider or payment method is available in every country.

Talendoo may display only the payment methods available for a particular:

user;

jurisdiction;

Account type;

currency; or

transaction.

Users remain responsible for satisfying applicable Payment Service Provider eligibility requirements.

14. Refunds, Cancellation and Consumer Rights

14.1 Applicable Terms

Refund and cancellation rights may differ according to:

the Service purchased;

subscription;

Account type;

jurisdiction;

applicable order form; and

mandatory consumer law.

14.2 South African Consumer Rights

Where the South African Consumer Protection Act 68 of 2008 or other mandatory South African consumer-protection legislation applies to a transaction, nothing in these Terms excludes, restricts, or limits any right that cannot lawfully be excluded or limited.

14.3 International Mandatory Rights

Users outside South Africa retain any mandatory consumer rights applicable in their jurisdiction that cannot lawfully be excluded.

14.4 Cancellation of Recurring Services

Cancellation of a recurring subscription normally prevents future renewal and does not automatically create a right to a refund for the current billing period unless otherwise required by law or expressly stated.

15. Communications

True Cloud ERP may send service-related communications including:

security alerts;

Account notices;

application notifications;

interview notifications;

payment notifications;

subscription notices;

changes to Services;

legal notices; and

other operational communications.

These communications are distinct from marketing.

Marketing communications will be sent only on a lawful basis and users may unsubscribe as provided in the Privacy Policy.

16. Suspension and Restriction

True Cloud ERP may suspend, restrict, or investigate an Account where reasonably necessary because of:

breach of these Terms;

suspected fraud;

security risk;

payment default;

unlawful activity;

misuse of Personal Information;

fraudulent recruitment;

harassment;

impersonation;

regulatory requirements;

sanctions;

threat to Platform integrity; or

protection of another user.

Where appropriate and legally permissible, True Cloud ERP may give the user an opportunity to respond.

17. Termination

17.1 User Termination

Users may close their Accounts subject to outstanding obligations and applicable retention requirements.

17.2 Company Termination

True Cloud ERP may terminate an Account for material or repeated breach, fraud, unlawful conduct, serious security risk, or other grounds permitted by the applicable Terms.

17.3 Effect of Termination

Termination does not affect:

accrued payment obligations;

existing legal rights;

confidentiality obligations;

intellectual-property rights;

lawful retention;

dispute provisions;

indemnities; or

provisions intended by their nature to survive termination.

18. Changes to Terms

18.1 Updates

True Cloud ERP may update these General Terms to reflect:

legal changes;

regulatory requirements;

security requirements;

new functionality;

payment-provider changes;

operational changes; or

business developments.

18.2 Notice

Material changes will be communicated through reasonable means, including email or in-Platform notification.

18.3 Reacceptance

Where a change materially affects user rights or obligations, True Cloud ERP may require users to reaccept the revised Terms.

True Cloud ERP will retain appropriate records of the version and acceptance associated with each Account.

19. Platform Availability

True Cloud ERP will use commercially reasonable efforts to maintain Talendoo’s availability but does not guarantee uninterrupted or error-free operation.

Talendoo may be unavailable because of:

maintenance;

upgrades;

hosting failures;

telecommunications failures;

third-party outages;

cybersecurity incidents;

force majeure; or

circumstances beyond reasonable control.

Separate service-level commitments apply only where expressly agreed in writing.

20. Disclaimers

To the maximum extent permitted by Applicable Law, Talendoo and the Services are provided on an “as is” and “as available” basis.

True Cloud ERP does not warrant that:

every Candidate is suitable;

every Candidate qualification is genuine;

every Employer is suitable;

every Recruiter will perform satisfactorily;

every vacancy will remain available;

every user will respond;

information supplied by users is accurate;

Talendoo will operate uninterrupted; or

recruitment will produce a particular result.

Nothing excludes warranties or rights that cannot legally be excluded.

21. Limitation of Liability

21.1 Non-Excludable Liability

Nothing in these Terms limits or excludes liability that cannot lawfully be excluded under South African law or another applicable mandatory law, including liability arising from fraud, fraudulent misrepresentation, gross negligence, or wilful misconduct where applicable.

21.2 Excluded Losses

Subject to clause 21.1 and to the maximum extent permitted by Applicable Law, True Cloud ERP will not be liable for indirect, incidental, special, punitive, exemplary, or consequential loss, or loss of profit, revenue, goodwill, business opportunity, anticipated savings, or data arising from use of Talendoo.

21.3 Recruitment Decisions

True Cloud ERP is not responsible for independent decisions, conduct, representations, or contractual obligations of Candidates, Employers, or Recruiters.

21.4 Third Parties

True Cloud ERP is not responsible for failures attributable solely to independent third parties, including Stripe, PayPal, Flutterwave, subject to Applicable Law.

21.5 Aggregate Liability

Subject to clause 21.1, True Cloud ERP’s aggregate liability arising from or relating to paid Services will not exceed the total Fees actually paid by the affected user to True Cloud ERP during the twelve (12) months immediately preceding the event giving rise to the claim.

22. Indemnity

To the extent permitted by Applicable Law, Employers and Recruiters agree to indemnify and hold harmless True Cloud ERP and its directors, officers, employees, contractors, and affiliates from third-party claims, liabilities, losses, damages, and reasonable legal costs arising from their:

unlawful use of Talendoo;

breach of these Terms;

infringement of third-party rights;

unlawful recruitment activity;

unlawful processing of Candidate information;

fraudulent job advertisements;

unauthorised Candidate submissions; or

violation of Applicable Law.

This clause does not require indemnification for loss caused by True Cloud ERP’s own unlawful conduct where such allocation is prohibited by law.

23. Force Majeure

Neither party will be liable for delay or failure caused by circumstances beyond its reasonable control, including:

natural disasters;

war;

terrorism;

civil unrest;

epidemics;

pandemics;

governmental action;

telecommunications failure;

power failure;

major cyber incidents;

labour disruption;

cloud-service failure; or

widespread Payment Service Provider failure,

provided the affected party takes reasonable steps to mitigate the impact.

24. Compliance with Laws

Users must comply with all Applicable Law relevant to their use of Talendoo, including where applicable:

South African employment and labour law;

equality and anti-discrimination law;

POPIA and other applicable data-protection law;

consumer-protection law;

intellectual-property law;

anti-bribery law;

anti-corruption law;

anti-money-laundering requirements;

sanctions;

immigration law;

human-trafficking legislation;

modern-slavery legislation; and

financial/payment laws applicable to their own activities.

International users must also comply with applicable mandatory laws in the jurisdictions in which they recruit, operate, employ, or process Personal Information.

25. International Use

Talendoo is operated from 1st Floor, Gateway West, 22 Magwa Crescent, Midrand, South Africa, but may be made available internationally.

Users accessing Talendoo from another country are responsible for ensuring that their own use complies with mandatory local law.

True Cloud ERP may restrict the availability of:

Services;

payment methods;

recruitment features;

vacancies;

Candidate visibility; or

other functionality

in particular jurisdictions where reasonably required by legal, regulatory, security, payment-provider, or commercial considerations.

26. Accessibility and Reasonable Accommodation

True Cloud ERP aims to make Talendoo reasonably accessible.

Users who encounter accessibility barriers may contact support@talendoo.io.

Candidates requiring reasonable accommodation in connection with an Employer’s recruitment process should contact the relevant Employer or Recruiter and may use available Talendoo support channels where appropriate.

27. Reporting Misconduct and Recruitment Fraud

Users should report suspected:

fake jobs;

recruitment scams;

Candidate impersonation;

unlawful Candidate fees;

phishing;

harassment;

discriminatory conduct;

payment fraud;

data misuse; or

other serious misconduct

to support@talendoo.io.

True Cloud ERP may investigate reports and take proportionate action.

28. Governing Law

Subject to mandatory rights that cannot lawfully be excluded, these General Terms, their formation, interpretation, and any dispute or non-contractual obligation arising from them will be governed by the laws of the Republic of South Africa.

Nothing in this clause deprives a consumer or data subject outside South Africa of mandatory legal protections that apply to them and cannot lawfully be excluded.

29. Dispute Resolution and Jurisdiction

29.1 Good-Faith Resolution

Before commencing formal proceedings, the parties will first attempt in good faith to resolve the dispute through written notice and reasonable discussions.

29.2 South African Jurisdiction

Subject to mandatory Applicable Law and any alternative dispute-resolution mechanism expressly agreed in writing, any dispute not resolved informally will be subject to the jurisdiction of the competent courts having jurisdiction in 1st Floor, Gateway West, 22 Magwa Crescent, Midrand, South Africa.

29.3 International Consumers

Nothing in clause 29.2 deprives a consumer of a mandatory right to institute proceedings in another competent jurisdiction where such right cannot legally be excluded.

29.4 Regulatory Rights

Nothing prevents a user from making a complaint to:

the South African Information Regulator;

the National Consumer Commission where applicable;

a competent data-protection authority;

a labour authority;

a financial regulator; or

another competent regulatory authority

where legally entitled to do so.

31. Assignment

Users may not transfer or assign their rights or obligations under these Terms without True Cloud ERP’s prior written consent, except where Applicable Law provides otherwise.

True Cloud ERP may assign its rights and obligations in connection with a merger, acquisition, corporate restructuring, financing, or sale of substantially all relevant business assets, subject to Applicable Law and continued protection of Personal Information.

32. Severability

If any provision is held invalid, unlawful, or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable or severed where necessary, and the remaining provisions will continue in effect.

33. Waiver

Failure or delay by True Cloud ERP or a user in exercising a contractual right does not constitute a waiver of that right.

34. Entire Agreement

These General Terms, together with the applicable:

Candidate Terms & Conditions;

Employer Terms & Conditions;

Recruiter Terms & Conditions;

Privacy Policy;

Cookie Policy;

POPIA/GDPR Data Processing Notice;

Data Processing Agreement where applicable;

Subprocessor List;

order form;

subscription agreement; and

other expressly incorporated documents

constitute the agreement between True Cloud ERP and the relevant user concerning Talendoo and its Services.

They supersede prior representations concerning the same subject matter except where expressly preserved in writing.

35. Order of Precedence

Unless expressly agreed otherwise, if there is a conflict between documents, the following order applies to the subject matter concerned:

a separately executed enterprise agreement or order form that expressly states that it overrides another document;

the Data Processing Agreement for controller/processor matters;

the applicable Candidate, Employer, or Recruiter Terms for role-specific matters;

these Platform General Terms & Conditions;

the Privacy Policy and POPIA/GDPR Data Processing Notice for privacy matters, subject to the DPA;

the Cookie Policy for cookies and similar technologies; and

other Talendoo policies.

Mandatory Applicable Law always prevails where it cannot lawfully be excluded.

36. No Third-Party Beneficiaries

Except where expressly stated or required by Applicable Law, these General Terms do not confer enforceable contractual rights on a person who is not a party to the applicable Agreement.

37. Relationship of Parties

Nothing in these General Terms creates an employment, partnership, joint venture, fiduciary, franchise, or agency relationship between True Cloud ERP and a user.

Candidates, Employers, Recruiters, Stripe, PayPal, Flutterwave, and other third parties remain independent parties unless expressly agreed otherwise in writing.

38. Survival

Provisions concerning:

Fees and outstanding payments;

intellectual property;

confidentiality;

privacy and lawful retention;

indemnities;

limitation of liability;

payment disputes;

governing law;

dispute resolution;

audit records; and

provisions intended by their nature to continue

survive termination to the extent necessary to give them effect.

40. Acceptance

By registering for, accessing, purchasing, subscribing to, or using Talendoo after being presented with these General Terms and the applicable acceptance mechanism, you acknowledge that you have read and understood these General Terms and agree to be legally bound by them.

Where you act for an Employer, Recruiter, company, agency, or other organisation, you additionally confirm that you are authorised to accept these Terms on its behalf.

Your contractual acceptance does not constitute consent to optional:

marketing;

Candidate profile visibility;

talent-pool participation;

background checks;

interview recordings;

assessments;

special-category processing; or

non-essential Cookies.

Where consent is legally required for those activities, it will be requested separately.
